This AGREEMENT is made as of the date of submission by and between the Auto Dealers Association of Greater Philadelphia (the ASSOCIATION), and the Contact listed herein (the EXHIBITOR), in consideration of the following mutual covenants and agreements to be kept and performed by the parties, the parties agree as follows:
ASSOCIATION agrees to permit EXHIBITOR to use and occupy the space herein reserved for the license fee stated above, and for the purpose of displaying vehicles or articles of merchandise at the 2025 Custom Alley at Oaks show (the “SHOW”), to be held at the Greater Philadelphia Expo Center, 100 Station Avenue, Oaks, Pennsylvania from October 23-26, 2025.
By checking “I accept and agree” you hereby agree to the conditions stated below and agree to abide by the terms of the ASSOCIATION’S Custom Alley Exhibitor Manual and the rules and regulations of the Greater Philadelphia Expo Center.
CONDITIONS OF AGREEMENT
This Agreement shall not be binding until accepted by the ASSOCIATION. EXHIBITOR shall not be entitled to exhibit in the licensed space unless the space license fee has been paid in full.
No EXHIBITOR shall, without the written consent of the ASSOCIATION, assign, sublicense, or apportion the whole or any part of the space contracted to be used. Neither shall any EXHIBITOR, without the written consent of the ASSOCIATION, represent any other firm, corporation, or individual, or advertise or distribute literature concerning or offer for sale the product or service of any other firm, corporation, or individual, except as specified in its Exhibit Space Contract.
No EXHIBITOR shall in any manner injure, mar, or deface any part of the Greater Philadelphia Expo Center internally or externally or permit anything to be done by its employees or agents by which the premises shall in any manner be injured, marred or defaced.
In the event the ASSOCIATION shall determine that the conduct of any EXHIBITOR, or its employees or agents, is not in keeping with the character of the SHOW, or that any Exhibit, or part of any Exhibit, is not in keeping with the character of the SHOW, the ASSOCIATION may, at any time, without notice, terminate the AGREEMENT entered into with the EXHIBITOR, and with or without process of law, remove the EXHIBITOR, its employees, agents and all of the property of the EXHIBITOR from the space contracted. The ASSOCIATION may retain all monies on account of the contracted space license fee as liquidated damages, which EXHIBITOR agrees is a fair and reasonable measure of damages to compensate the ASSOCIATION. No EXHIBITOR shall have any right or claim against the ASSOCIATION on account of any action so taken.
EACH EXHIBITOR SHALL BE SOLELY LIABLE FOR THE SAFETY OF ITS EXHIBITS AND OTHER PROPERTY AGAINST ROBBERY, FIRE, ACCIDENT OR ANY OTHER HAZARD WHATSOEVER WITHOUT LIMITATION. ASSOCIATION shall not be liable for any damage to the property of EXHIBITOR or for any loss by theft or other means, or for any injuries to EXHIBITOR, its employees, or agents arising from any cause or matter whatsoever. EXHIBITOR, on behalf of itself, its employees, and agents, will, to the fullest extent allowable by law, at all times protect, defend, indemnify, and save and keep harmless the ASSOCIATION, its agents, servants, employees, successors and assigns against and from any and all loss, cost, claim, liability, damage, and/or expense, including reasonable attorneys’ fees, arising out of or from any accident or other occurrence in connection with EXHIBITOR’s use or occupancy of the licensed space, causing injury to any person or property whomsoever or whatsoever, or arising out of any failure of EXHIBITOR in any respect to comply with and perform all the requirements and provisions of this AGREEMENT, the ASSOCIATION’s Custom Alley Exhibitor Manual, and the rules and regulations of the Greater Philadelphia Expo Center. If the ASSOCIATION’s Custom Alley Exhibitor Manual, this AGREEMENT and/or the rules and regulations of the Greater Philadelphia Expo Center conflict with one another, the document providing the most restrictive obligations upon EXHIBITOR shall control, except as otherwise expressly provided in this paragraph.
The ASSOCIATION shall have full power 1.) to interpret and enforce all rules contained in this Agreement, the rules in the official Custom Alley Exhibitor Manual, and the power to make amendments to these rules, and 2.) to enact such further conditions and rules of agreement as it shall consider necessary for the proper conduct of the SHOW.
INSURANCE – EXHIBITOR agrees to comply with all insurance requirements as set forth in the ASSOCIATION’s Custom Alley Exhibitor Manual.
EXHIBITOR agrees to comply with all the rules and regulations prescribed by the Greater Philadelphia Expo Center and the ASSOCIATION and to meet all requirements of state and municipal authorities, police and fire departments, and obtain at their own expense any necessary permits, insurance, licenses, or equipment should any be required for the lawful operation of EXHIBITOR’s display.
EXHIBITOR will not be entitled to recover from the ASSOCIATION any consequential damages, damages to property, damages for loss of use, loss of time, loss of profits, or income, or other incidental damages which may arise out of the ASSOCIATION’s enforcement of the terms and conditions of this Agreement.
Failure to Hold the SHOW or to Provide Space – Should the ASSOCIATION fail to hold a SHOW as provided herein or to furnish EXHIBITOR the space described in this Agreement, it shall promptly refund to EXHIBITOR all sums paid hereunder, and such refund shall be accepted by EXHIBITOR in full settlement of all loss or damage suffered by EXHIBITOR.
This Agreement shall be subject to all of the terms, provisions, and conditions of a written license agreement between the ASSOCIATION and Greater Philadelphia Expo Center.
This Agreement is a license, and not a lease, of the exhibit space, and confers no rights of a lessee or other real estate rights upon the Exhibitor.
